This agreement constitutes a legally binding agreement between Faprimo OÜ, a limited liability company under the law of the European Union ("Faprimo"), and the customer, whether personally or on behalf of an entity ("Customer"), regarding access to and use of the Faprimo website: https://www.faprimo.com (the "Website") and all other media forms, channels, mobile websites or mobile applications that are connected, linked, or otherwise associated with it. Failure to agree to all the terms, conditions, and obligations herein will result in the express prohibition of the Customer's use of the Website, and the Customer will be instructed to immediately cease its use. Thereafter, the relationship between the Customer and Faprimo will be terminated and will have no further validity between the parties, unless a customer's obligation to pay Faprimo for services rendered remains and is an ongoing obligation of the Customer to Faprimo.

1. Intellectual Property Rights

Unless otherwise indicated, the website is owned by Faprimo and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics of any kind and in any format (collectively or individually referred to herein as "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned and controlled by Faprimo and are protected by copyright and trademark laws and all other applicable laws for the protection of intellectual property or regulations of the European Union, foreign jurisdictions, and international conventions. The content and the marks are provided "as is" for your information and personal use. Except as expressly provided herein, no part of the website and no content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise used for any commercial purpose without the express prior written permission of Faprimo. Faprimo reserves all rights to the website, the content, and the marks.

2. Ownership of Materials

Notwithstanding Faprimo's ownership of the submissions as described in Section 4 ("Customer Feedback"), all design and original source files created on behalf of the customer ("Projects") belong to the customer, and the customer is the sole owner of the copyright for all projects. In the event that any law would result in Faprimo becoming the owner of a project, in whole or in part, instead of the customer, Faprimo irrevocably and permanently transfers all its interest in the project to the customer, without restriction. The customer guarantees that all materials provided to Faprimo as examples or as material for inclusion in a project during the design process are owned by the customer and do not infringe or misuse any third-party rights, including, but not limited to, all intellectual property rights and any right of publicity. Faprimo always reserves the right to publicly share the customer's design work (social media, website, etc.), unless otherwise agreed as specified in Section 18 of this document.

3. Third-Party Fonts

In the event that a project includes fonts that are not owned by Faprimo and for which the customer must acquire a commercial license to legally reproduce, distribute, or publicly display the project ("Third-Party Fonts"), Faprimo will inform the customer in writing that one or more Third-Party Fonts have been included in the project and that the customer must acquire one or more licenses for the Third-Party Fonts from the rights holder of the aforementioned Third-Party Fonts in order to legally reproduce, distribute, or publicly display the project. This notification will contain sufficient information to enable the customer to identify which licenses are required and whom to contact to acquire these licenses. As long as Faprimo has informed the customer of the inclusion of Third-Party Fonts as described above, the customer assumes all responsibility for any consequences arising from the customer's failure to acquire one or more licenses for all Third-Party Fonts included in a project.

4. User Representations

By using the website, the customer declares and guarantees that: (1) the customer has the legal capacity and agrees to comply with these terms of use; (2) the customer is not a minor in the jurisdiction of their residence; (3) the customer will not access the website through automated or non-human means; (4) the customer will not use the website for illegal or unauthorized purposes; (5) the customer's use of the website will not violate any applicable laws or regulations.

5. Prohibited Activities

The customer may only use the website for the purpose for which it is made available to them. The website must not be used in connection with commercial endeavors except those that are specifically endorsed or approved by Faprimo.
